We are seeking an experienced attorney with several years of experience working with complex agreements for sophisticated clients in a variety of industries, including telecom, financial services, public sector, OML, and technology. The position will provide you the opportunity to negotiate contracts directly with Experian’s business clients and government agencies, requiring in-depth work with and understanding of a variety of different agreements, including regulated and marketing data services, SaaS, software licensing, global consulting, professional services, analytics, as well as NDAs, evaluation agreements, teaming agreements, and standard terms and conditions.

As a front-line negotiator with Experian’s business and government clients, you will find creative solutions that meet both Experian’s and its clients’ business and legal needs, and ensure that the contracts comply with Experian policy and regulatory requirements. This position requires coordination with various stakeholders and subject matter experts in the legal department, compliance, product marketing, finance, as well as other groups at Experian to help drive transactions to successful completion within the required time frame.
You will also maintain and enforce contracting policies including approval procedures for non-standard terms and pricing, assist the sales force with on-going administration of client contracts, advise management on contractual terms and risks, and provide training to sales and other departments on contract issues and negotiation strategies. You need to be adept at using your judgment and making sound decisions quickly to facilitate deal execution while minimizing risk to Experian’s interests.

• 3-5 years of experience structuring, drafting, and negotiating SaaS, software licensing, professional services, analytics, data services, and complex commercial agreements with large financial institutions, telecoms, utilities, fintech, and other types of business clients, in a corporate or law firm environment
• Experience negotiating and managing agreements, including contract close-out activities and familiarity with FARs, with local, state and federal agencies, and prime contractors, as well as teaming agreements/partnership agreements and non-disclosure agreements in support of capturing public sector business.
• J.D. from an accredited law school; MA Bar desired but other jurisdiction is ok
• Experience supporting and advising sales teams at a large technology, software, or data services company
• Ability to lead a negotiation, understanding how to balance key risks and opportunities to reach a mutually acceptable agreement in a way that will not alienate clients
• Deep understanding of contract law and legal concepts, including their practical application in a business environment
• Working knowledge and experience with revenue recognition issues as related to software and services, and with legal concepts such as Intellectual Property Rights, Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality
• Excellent contract drafting skills
• Ability to summarize and communicate (written and oral) legal concepts in clear and concise manner
• Demonstrated ability to quickly digest complex information and make good, informed decisions
• Highly motivated, strategic, and detail-oriented with the ability to proactively organize a heavy workload
• Self-starter who understands executing with urgency, and the ability to comfortably work in an intensely deadline-oriented environment
• Strong multitasking skills to be able to prioritize, move and track multiple projects to completion, often with competing deadlines
• Excellent analytical, attention-to-detail, and problem solving skills
• Ability to communicative effectively with a broad audience and at all levels of the organization; excellent interpersonal skills and works well with on a team
• Maintain a high level of professionalism and outstanding business judgment with minimal supervision
• Ability to draft a substantive email in five sentences or less
• Proven customer service experience
• Concisely and effectively advise executive leaders of contract risk associated with certain arrangements when appropriate
• Familiarity with FCRA, GLB, UDAAP, FARs, and HIPPA is desirable
• Experience with data privacy laws, a plus
• Excellent and advanced Microsoft Word skills; proficient in Adobe products, Excel, and PowerPoint
• Salesforce.com experience
